Terms and Conditions

In consideration of provision of an online course known as HODL Bootcamp (the “Course”) by BUIDL Bootcamp LLC (the “Company”) and other valuable consideration, you agree to the following terms:

  1. The Course will provide education as to security practices for a certain amount of Testnet Bitcoin. Said amount of Testnet Bitcoin will be provided to you for free by the Company and has no value. Should you choose to apply the practices taught in this course to any Mainnet Bitcoin or any other digital asset you own now or may purchase in the future, you do so at your own risk and the Company (and any of its owners, officers, employees, or agents) shall in no event be liable for any financial loss suffered. Nothing shall be construed as the Company providing consulting or advice as to securing any digital asset of value.

  2. Neither the Company, or any of its officers, employees, owners or agents are financial advisors. Nothing in the Course shall be construed as financial advice. The Company makes no representation as to the suitability of Bitcoin or any other asset as an investment. If you have questions regarding the suitability of any specific investment, speak to a licensed financial advisor in your jurisdiction.

  3. All materials are provided “as is,” with all faults, and there are no express or implied representations or warranties, of any kind.

  4. All materials are provided for your sole use only, and are not to be redistributed to others.

  5. The laws of the US State of Texas shall apply to any controversy or claim arising out of or relating to the Course, this agreement, or the breach thereof. You submit to exclusive jurisdiction of the State of Texas and its courts for any disputes, claims, or controversies.

  6. Notwithstanding any other provision herein, any controversy or claim arising out of or relating to the Course, this agreement, or the breach thereof, shall be settled by mandatory binding individual (not class) arbitration administered in Austin, Texas by the American Arbitration Association in accordance with its rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED. YOU ARE SPECIFICALLY WAIVING YOUR RIGHTS TO FILE A LAWSUIT IN COURT. ALL PARTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. In arbitration there may be more limited discovery than in court.

  7. You hereby indemnify to the fullest extent the Company from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of this agreement.

  8. If any provision of this agreement is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

  9. The Company may assign any of its rights hereunder, in whole or in part, and may delegate any of its obligations. You may not assign any rights hereunder.

  10. These terms shall survive completion of the Course.

  11. This agreement constitutes the entire agreement between the Company and you in relation to your use of the provided education, and supersedes all prior agreements and understandings.
